Please read these terms carefully before using Clientflow's services.
1. Acceptance of Terms
By accessing and using the services provided by CLIENTFLOW ACQUISITION LTD ('Clientflow,' 'we,' 'our,' or 'us'), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Description of Services
Clientflow provides B2B appointment setting and client acquisition services, including but not limited to:
- Email infrastructure setup and management
- Ideal Client Profile (ICP) research and lead sourcing
- Multi-channel outreach campaigns (email, LinkedIn, calling)
- Campaign copywriting and A/B testing
- Deliverability monitoring and optimization
- Weekly performance reporting and strategy calls
3. Client Obligations
As a client, you agree to:
- Provide accurate and complete business information during onboarding
- Respond to booked appointments promptly and professionally
- Maintain an active calendar link for appointment scheduling
- Provide timely feedback on lead quality and campaign performance
- Not engage in any activity that would compromise sending infrastructure
- Pay all fees as outlined in your service agreement
4. Payment Terms
- All fees are due as specified in your service agreement
- Payment is required in advance of each service period
- Late payments may result in service suspension after a 7-day grace period
- Setup fees and third-party costs are non-refundable
- We accept payment via bank transfer, credit card, and other methods as specified
5. Service Delivery
We commit to delivering services with professionalism and diligence. Please note:
- Onboarding typically takes 5-7 business days
- Infrastructure warmup requires 14-21 days before campaign launch
- Results depend on multiple factors including your industry, target market, offer, and sales process
- We optimize campaigns continuously based on performance data
- Specific appointment volumes or revenue outcomes cannot be contractually assured, as results vary by market conditions
6. Intellectual Property
- All campaign strategies, copy, and methodologies developed by Clientflow remain our intellectual property
- Lead lists and prospect data sourced by Clientflow are provided for your use during the service period
- You retain ownership of your business information, brand assets, and client data
- Neither party may use the other's trademarks without written permission
7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the service relationship. This includes business strategies, client lists, pricing, campaign data, and any other non-public information. Confidentiality obligations survive termination of services.
8. Termination
- Either party may terminate with 30 days written notice
- We reserve the right to terminate immediately if terms are violated
- Upon termination, access to campaigns and infrastructure will be discontinued
- Outstanding balances remain due upon termination
- Transition support is available upon request during the notice period
9. Limitation of Liability
To the maximum extent permitted by law, Clientflow's total liability for any claims arising from services shall not exceed the total fees paid by you in the three months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business opportunities.
10. Indemnification
You agree to indemnify and hold harmless CLIENTFLOW ACQUISITION LTD, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services, your violation of these terms, or your infringement of any third-party rights.
11. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to Terms
We reserve the right to modify these Terms of Service at any time. Material changes will be communicated via email or through our website. Continued use of our services after changes constitutes acceptance of the updated terms.
